1. Agreement to Terms

These Terms and Conditions ("Terms," "Agreement") constitute a legally binding contract between you ("User," "you," or "your") and SylusAI ("SylusAI," "we," "us," or "our"), governing your access to and use of the SylusAI platform, website located at https://sylusai.com, and all related products, services, features, applications, and integrations (collectively, the "Service" or "Platform").

By accessing or using the Service — including by clicking "Sign Up," "Get Started," or any equivalent action — you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease use of the Service and, if applicable, terminate your account.

These Terms supersede all prior agreements, representations, or understandings between you and SylusAI concerning the subject matter herein. SylusAI reserves the right to update or modify these Terms at any time, and your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes.

2. Description of Service

SylusAI is a software-as-a-service (SaaS) platform that provides AI-powered social media automation capabilities to individuals, teams, and businesses. The Service enables Users to:

  • Research trending topics across social media platforms and industries using AI-assisted tools;

  • Create AI-generated content including text posts, captions, and other written materials tailored to a user's brand voice and publishing goals;

  • Design social media assets including post graphics, banners, and visual content components;

  • Schedule and publish content across connected social media platforms automatically or at user-defined times;

  • Monitor performance analytics to assess reach, engagement, and content effectiveness;

  • Automate workflows through pre-built and customizable automation sequences for content creation and distribution.

The Service facilitates integration with third-party social media platforms including Meta (Facebook and Instagram), LinkedIn, Twitter/X, Reddit, and Pinterest through OAuth-based authorization. The scope, availability, and features of the Service may vary by subscription plan and are subject to change at SylusAI's discretion, in accordance with Section 15 of these Terms.

SylusAI does not guarantee specific outcomes, including but not limited to follower growth, engagement rates, or algorithmic reach on any third-party social media platform.

3. Eligibility

3.1 Age Requirements

Use of the Service is subject to the following age requirements:

  • You must be at least 18 years of age to register for and use the Service independently; or

  • You must be at least 13 years of age with verifiable parental or legal guardian consent, provided that the consenting parent or guardian agrees to be bound by these Terms on your behalf and accepts full responsibility for your use of the Service.

By accessing the Service, you represent and warrant that you meet the applicable age requirement. SylusAI reserves the right to terminate any account it reasonably believes to be held by a person who does not satisfy these requirements.

3.2 Geographic Restrictions

The Service is not available to individuals or entities located in, ordinarily resident in, or under the jurisdiction of any country, region, or territory subject to comprehensive sanctions administered by the United Nations Security Council, the Government of India, the United States Office of Foreign Assets Control (OFAC), the European Union, or any other applicable sanctions authority. By using the Service, you represent and warrant that you are not located in or subject to such restrictions.

3.3 Legal Capacity

You represent and warrant that you have the full legal right, power, and authority to enter into this Agreement, and that doing so does not violate any other agreement to which you are a party or any applicable law. If you are using the Service on behalf of a company, organization, or other legal entity, you represent that you are authorized to bind such entity to these Terms.

4. Account Registration and Security

4.1 Account Creation

To access the full features of the Service, you must register for an account by providing accurate, complete, and current information as prompted during registration. You agree to maintain and promptly update your account information to keep it accurate and current.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to:

  • Not share your credentials with any third party;

  • Use a strong, unique password for your SylusAI account;

  • Notify SylusAI immediately at contact@sylusai.com upon becoming aware of any unauthorized use of your account or any other breach of security;

  • Log out of your account at the end of each session, particularly when using shared devices.

SylusAI will not be liable for any loss or damage arising from your failure to comply with these security obligations. You accept responsibility for all activities that occur under your account, whether or not you authorized such activities.

4.3 One Account Per User

Unless expressly authorized by SylusAI in writing, each user is permitted to maintain only one account. Creating multiple accounts to circumvent plan restrictions, free trial limitations, or any enforcement action taken by SylusAI is prohibited and constitutes a material breach of these Terms.

5. Subscription Plans and Billing

5.1 Free Plan

SylusAI offers a Free plan with access to core platform features, subject to the following limitations:

  • A maximum of 1 (one) AI-generated or scheduled post per day;

  • Access to AI Content and Post Generation tools;

  • Access to Content Research features;

  • Access to the Free LinkedIn Comment Tool;

  • No access to all social media integrations (limited platform connectivity).

The Free plan is intended for individual use and personal exploration of the Service. SylusAI reserves the right to modify, restrict, or discontinue the Free plan at any time upon reasonable notice.

5.2 Premium Plan

The Premium plan is designed for individuals and small teams requiring greater output and platform reach. It includes:

  • 4 (four) AI-generated or scheduled posts per day;

  • All features included in the Free plan;

  • Access to all supported social media integrations, including Meta (Facebook and Instagram), LinkedIn, Twitter/X, Reddit, and Pinterest;

  • Access to the Free LinkedIn Comment Tool.

5.3 Business Plan

The Business plan is designed for companies, agencies, and high-volume publishers. It includes:

  • Unlimited posts per day;

  • All features included in the Premium plan;

  • Customizable options and workflow configurations;

  • Dedicated customer support.

5.4 Payment Terms

All subscription fees are billed in advance on a monthly or annual basis, as selected by the User at the time of subscription. Annual plans may be offered at a discounted rate (currently 20% off the equivalent monthly pricing). Fees are non-refundable except as expressly provided in Section 5.6 below or as required by applicable law.

You authorize SylusAI (or its designated payment processor) to charge your selected payment method for the applicable subscription fee at the start of each billing cycle. All amounts are stated in the currency displayed at checkout and are exclusive of applicable taxes unless otherwise indicated.

5.5 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled by the User prior to the renewal date. SylusAI will provide notice of upcoming renewal charges in accordance with applicable law. You may cancel your subscription at any time through your account settings or by contacting contact@sylusai.com. Cancellation will take effect at the end of the current billing period; access to paid features will continue until that date.

5.6 Refund Policy

SylusAI offers refunds on a case-by-case basis, subject to the following:

  • Refund requests must be submitted within 7 (seven) days of the initial charge or renewal charge;

  • Refunds will not be issued for partial periods or unused post allocations;

  • Refunds will not be issued where the User's account has been suspended or terminated due to a breach of these Terms;

  • Refunds for Users located in India may additionally be governed by the Consumer Protection Act, 2019, and applicable rules thereunder.

To request a refund, contact contact@sylusai.com with your account details and reason for the request.

5.7 Pricing Changes

SylusAI reserves the right to change subscription pricing at any time. Where price changes affect an existing active subscription, SylusAI will provide at least 30 days' written notice before the change takes effect. Continued use of the Service after such notice constitutes acceptance of the revised pricing.

6. Social Media Platform Integrations

6.1 OAuth Authorization

To enable publishing, scheduling, analytics reading, and other automation features, SylusAI requires you to connect your third-party social media accounts via OAuth authentication. By connecting a social media account, you authorize SylusAI to act on your behalf within the permissions granted by that platform's API and OAuth scope, including but not limited to:

  • Creating and publishing posts;

  • Scheduling content for future publication;

  • Accessing profile information, page data, and analytics;

  • Reading comments or engagement data where applicable.

This authorization does not transfer ownership of any of your social media accounts, content, or data to SylusAI.

6.2 User Responsibility for Published Content

You remain solely and fully responsible for all content published, scheduled, or otherwise transmitted through your connected social media accounts via the SylusAI Platform. This responsibility applies regardless of whether the content was:

  • Drafted or generated by SylusAI's AI tools;

  • Modified or customized by you;

  • Scheduled automatically via the Platform's automation features.

SylusAI acts as a technical intermediary. The content published to your social media accounts is published in your name and under your credentials. You must review all AI-generated content before publishing and ensure it complies with applicable laws and platform policies.

6.3 Compliance with Third-Party Platform Terms

Your use of social media integrations is subject to and must comply with the terms, policies, and guidelines of each respective third-party platform. These include, without limitation:

You acknowledge that SylusAI's ability to provide integration services is contingent upon the continued availability of third-party APIs and compliance with each platform's developer policies. SylusAI will make reasonable efforts to remain compliant with those policies but cannot guarantee uninterrupted integration availability.

6.4 No Responsibility for Third-Party Platform Actions

SylusAI is not responsible or liable for any action taken by a third-party social media platform in connection with your use of the Service, including but not limited to:

  • Suspension or termination of your account on any platform;

  • Removal, shadow-banning, or demotion of content published via the Service;

  • Restriction of API access resulting from your policy violations;

  • Changes to third-party APIs or platform policies that affect Service functionality.

You acknowledge that third-party platforms operate independently of SylusAI and enforce their own terms at their sole discretion.

6.5 Revocation of Access

You may revoke SylusAI's access to any connected social media account at any time by:

  • Disconnecting the account within your SylusAI account settings; or

  • Revoking the application's permissions directly through the third-party platform's settings.

Revocation of access will not delete content already published to the platform. Scheduled content awaiting publication will be cancelled upon disconnection. SylusAI will retain no ongoing access to your account following revocation, subject to data retention obligations described in our Privacy Policy.

7. User Responsibilities and Acceptable Use

7.1 General Obligations

By using the Service, you agree to:

  • Use the Service only for lawful purposes and in compliance with these Terms and all applicable local, national, and international laws;

  • Not misrepresent your identity or affiliation with any person or entity;

  • Maintain accurate and current account information at all times;

  • Ensure that any third party you authorize to use your account is aware of and complies with these Terms.

7.2 Prohibited Conduct

You agree not to use the Service to:

(a) Post or distribute harmful, illegal, or offensive content, including but not limited to content that:

  • Is defamatory, obscene, threatening, harassing, discriminatory, or promotes hate speech based on race, religion, gender, sexual orientation, disability, nationality, or other protected characteristics;

  • Violates any applicable law or regulation, including those concerning privacy, intellectual property, or consumer protection;

  • Encourages or facilitates violence, self-harm, or illegal activity;

(b) Engage in spam or deceptive practices, including but not limited to:

  • Posting repetitive, unsolicited, or bulk content at volumes designed to manipulate platform algorithms;

  • Creating inauthentic engagement, fake accounts, or artificially inflating metrics;

  • Using misleading metadata, hashtags, or descriptions to deceive users or platforms;

(c) Violate any third-party platform policy, including any terms listed in Section 6.3 of these Terms;

(d) Scrape, harvest, or extract data from SylusAI or any third-party platform beyond the permitted scope of API access granted to you under these Terms and applicable platform policies;

(e) Reverse engineer, decompile, disassemble, or otherwise attempt to access the source code, underlying algorithms, or proprietary components of the Service;

(f) Use the Service to develop a competing product or service, or to benchmark the Service for public competitive analysis without SylusAI's prior written consent;

(g) Interfere with or disrupt the integrity, performance, or security of the Service, its servers, or related networks, including through the use of malware, denial-of-service attacks, or unauthorized access attempts.

7.3 Enforcement

SylusAI reserves the right, at its sole discretion, to remove content, suspend automation workflows, restrict account access, or terminate accounts where it reasonably believes a violation of these Terms or applicable law has occurred. SylusAI is not obligated to monitor all content or activities on the Platform but may do so to ensure compliance.

8. AI-Generated Content

8.1 Nature of AI-Generated Content

The Service uses artificial intelligence and machine learning models to assist in the research, drafting, and design of social media content. AI-generated outputs are generated algorithmically based on your inputs, prompts, brand voice parameters, and contextual data, and are not authored by human editors.

8.2 Ownership of Generated Content

As between you and SylusAI, you own the content generated by the Service using your inputs and published (or saved) through your account, subject to these Terms and applicable law. SylusAI does not claim intellectual property rights in the specific content outputs generated for your account.

By using the Service, you grant SylusAI a limited, non-exclusive, royalty-free, worldwide license to store, process, and transmit your content solely as necessary to provide and improve the Service. This license does not permit SylusAI to publicly distribute or sell your content.

8.3 No Guarantee of Originality

AI-generated content may reflect patterns, styles, and information learned from publicly available training data. SylusAI does not guarantee that AI-generated content is:

  • Entirely original or free from similarity to other works;

  • Accurate, factually correct, or suitable for a particular purpose;

  • Free from potential claims of copyright, trademark, or other intellectual property infringement.

8.4 User Responsibility to Review

You are solely responsible for reviewing all AI-generated content before publishing it to any social media platform. By publishing content through the Service, you confirm that you have reviewed the content and determined that it complies with applicable laws, third-party platform policies, and your own brand and compliance standards.

8.5 No Liability for AI Content Issues

SylusAI shall not be liable for any claims, damages, or losses arising from:

  • AI-generated content that infringes the intellectual property rights of any third party;

  • Inaccuracies, errors, or misleading statements in AI-generated content;

  • Regulatory or platform policy violations resulting from the publication of AI-generated content;

  • Reputational harm caused by AI-generated content published through your account.

9. Intellectual Property

9.1 SylusAI's Intellectual Property

The SylusAI Platform, including its name, logo, brand identity, software architecture, proprietary algorithms, user interface designs, databases, documentation, and all related materials, is owned by SylusAI and is protected under applicable intellectual property laws, including the Copyright Act, 1957 (India), and relevant international conventions.

No provision of these Terms grants you any ownership interest in SylusAI's intellectual property. Your right to use the Service is limited to the personal, non-transferable, non-exclusive license granted under these Terms for the duration of your active subscription or free-plan access.

9.2 User Content and Original IP

You retain ownership of any original content you upload, input, or create independently using the Service ("User Content"). By submitting User Content through the Platform, you grant SylusAI a limited license to process and transmit such content solely for the purpose of delivering the Service to you.

You represent and warrant that you hold all necessary rights, licenses, and permissions in respect of User Content submitted to the Platform, and that such content does not infringe any third-party rights.

9.3 Feedback

If you provide SylusAI with suggestions, ideas, recommendations, or other feedback regarding the Service ("Feedback"), you grant SylusAI a perpetual, irrevocable, royalty-free, worldwide license to use such Feedback for any purpose, without obligation of attribution or compensation.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, SylusAI expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;

  • Any warranty that the Service will meet your specific requirements or expectations;

  • Any warranty that the Service will be uninterrupted, error-free, secure, or free from viruses or harmful components;

  • Any warranty as to the accuracy, completeness, reliability, or timeliness of content or outputs generated by the Service;

  • Any warranty regarding the continued availability of third-party integrations (Meta, LinkedIn, Twitter/X, Reddit, Pinterest);

  • Any warranty concerning the performance of your social media accounts, including follower growth, engagement, or algorithmic reach.

Nothing in these Terms shall exclude warranties that cannot be excluded under applicable law, including protections afforded under the Consumer Protection Act, 2019 (India).

11. Limitation of Liability

11.1 Exclusion of Consequential Damages

To the fullest extent permitted by applicable law, SylusAI, its directors, officers, employees, affiliates, agents, and licensors shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with your use of or inability to use the Service, including but not limited to:

  • Loss of profits, revenue, or business opportunities;

  • Loss of data or content;

  • Loss of goodwill or reputational harm;

  • Costs of substitute products or services;

  • Damage to social media accounts or third-party platform standing.

This exclusion applies regardless of the legal theory under which such claims are brought (contract, tort, negligence, strict liability, or otherwise) and even if SylusAI has been advised of the possibility of such damages.

11.2 Aggregate Liability Cap

SylusAI's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount of subscription fees paid by you to SylusAI in the 3 (three) months immediately preceding the event giving rise to the claim, or INR 5,000 (Indian Rupees Five Thousand), whichever is greater.

11.3 Exceptions

The limitations and exclusions in this Section 11 shall not apply to the extent prohibited by applicable law, including the Consumer Protection Act, 2019 (India), and shall not limit SylusAI's liability for fraud, gross negligence, or wilful misconduct.

12. Indemnification

You agree to defend, indemnify, and hold harmless SylusAI and its directors, officers, employees, contractors, agents, affiliates, and licensors from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of or access to the Service;

  • Your violation of these Terms;

  • Your violation of any applicable law or regulation;

  • Any content you publish or cause to be published through the Service, including AI-generated content that you approved for publishing;

  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or platform terms of service;

  • Any dispute between you and any third-party social media platform arising from your use of the integrations facilitated by SylusAI.

SylusAI reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with SylusAI in asserting any available defenses.

13. Termination

13.1 Termination by You

You may terminate your account at any time by accessing your account settings and following the account deletion or cancellation process, or by contacting contact@sylusai.com. Termination does not entitle you to a refund except as provided under Section 5.6 of these Terms.

13.2 Termination by SylusAI

SylusAI may suspend or terminate your access to the Service, with or without notice, if:

  • You breach any provision of these Terms;

  • You engage in conduct that SylusAI determines, in its sole discretion, is harmful to other users, third parties, or SylusAI's reputation, business, or legal standing;

  • Required to do so by law, court order, or competent regulatory authority;

  • SylusAI discontinues the Service in whole or in part.

Where termination is for cause (i.e., breach of Terms), no refund will be issued.

13.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service ceases immediately;

  • Scheduled posts that have not yet been published will be cancelled;

  • SylusAI may retain your account data for a period as described in our Privacy Policy before permanent deletion;

  • Any outstanding payment obligations accrued prior to termination remain due and payable.

13.4 Survival

The following sections of these Terms shall survive termination: Section 8 (AI-Generated Content), Section 9 (Intellectual Property), Section 10 (Disclaimer of Warranties), Section 11 (Limitation of Liability), Section 12 (Indemnification), and Section 14 (Governing Law).

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of India, including but not limited to:

  • The Information Technology Act, 2000 and the Information Technology (Amendment) Act, 2008, and rules made thereunder;

  • The Consumer Protection Act, 2019 and applicable consumer protection regulations;

  • The Indian Contract Act, 1872;

  • The Copyright Act, 1957 and other applicable intellectual property statutes.

14.2 Jurisdiction

Subject to Section 14.3 below, you irrevocably submit to the exclusive jurisdiction of the courts of Greater Noida, Uttar Pradesh, and/or the Delhi National Capital Region (NCR), India, for the resolution of any dispute arising under or in connection with these Terms.

14.3 Dispute Resolution Process

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting SylusAI at contact@sylusai.com and providing written notice of the nature of the dispute and the relief sought. The parties shall have 30 (thirty) days from receipt of such notice to attempt good-faith resolution. If the dispute is not resolved within that period, either party may proceed to file a claim before the appropriate court as specified in Section 14.2.

15. Changes to Terms

SylusAI reserves the right to modify, update, or revise these Terms at any time. When changes are made:

  • The revised Terms will be posted at https://sylusai.com with an updated "Last Updated" date at the top of this document;

  • For material changes, SylusAI will make reasonable efforts to notify you via the email address associated with your account or through an in-platform notification, at least 14 (fourteen) days before the changes take effect;

  • For minor or non-material changes (such as corrections, clarifications, or formatting updates), changes may take effect immediately upon posting.

Your continued use of the Service following the effective date of any revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account in accordance with Section 13.1.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any supplemental agreements or policies incorporated by reference, constitute the entire agreement between you and SylusAI with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, or warranties.

17.2 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.

17.3 Waiver

No failure or delay by SylusAI in exercising any right, remedy, or privilege under these Terms shall operate as a waiver of that right, remedy, or privilege. A waiver of any provision in one instance does not constitute a waiver of that provision in any future instance.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without SylusAI's prior written consent. SylusAI may freely assign these Terms or its rights and obligations hereunder in connection with a merger, acquisition, corporate restructuring, or sale of assets, without your consent.

17.5 Force Majeure

SylusAI shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet outages, third-party platform API disruptions, or cyber-attacks.

17.6 Language

These Terms are drafted in the English language. In the event of any inconsistency between an English version and any translation, the English version shall prevail.
